1. Acceptance of Terms

By creating an account, subscribing, or otherwise using The Onyx Table services (“Services”), you agree to be bound by these Terms & Conditions (“Terms”), as updated from time to time. If you do not agree, you must discontinue use of the Services.

2. Services Provided

The Onyx Table is a peer advisory membership platform for executives and business leaders. Subscription benefits may include, depending on the offering selected:

Participation in curated peer cohorts.
Regular group meetings (virtual or in-person).
One-on-one executive coaching sessions.
Access to professional speakers, workshops, or seminars.
Other resources as described on theonyxtable.com/offerings.

We reserve the right to modify or enhance Services periodically. Any significant changes will be reflected on our website.

3. Member Responsibilities

Members agree to:

Participate in cohort sessions and coaching sessions to the best of their ability.
Abide by the Onyx Table Code of Conduct, which minimally includes:
- Earnest efforts to fully participate in all cohort activities,
- Respectful discourse at all times, and
- Protection of confidential information.
Host: Unless expressly excused, each member must be prepared to host a live cohort meeting (including providing space and appropriate refreshments) when requested with at least 30 days’ notice. Membership tiers that require hosting are identified in theonyxtable.com/offerings and affected members will not be required to host more than once per calendar year.
Provide accurate registration and payment information and keep it current.

4. Subscription, Fees & Payments

Subscriptions are purchased online via credit card.
Fees are charged automatically on a recurring basis according to the plan selected (monthly, quarterly, or annually, as listed on theonyxtable.com/offerings).
By subscribing, you authorize recurring charges until you cancel your subscription.
Payment processing is handled through third-party providers. We do not store your full credit card details.
All fees are non-refundable except where required by law.

5. Term & Cancellation

Subscriptions remain active until cancelled.
You may cancel at any time by following the cancellation process in your account settings. Cancellations take effect at the end of the current billing cycle; no partial refunds will be issued.
We reserve the right to suspend or terminate memberships for non-payment, misconduct, or violation of these Terms.

6. Privacy, Confidentiality & Data Use

Confidentiality Among Members: Information shared within a cohort is expected to remain confidential. All members agree not to disclose other members’ sensitive information outside the cohort. Sharing among cohort peers is integral to the Onyx Table experience and is expected.
Onyx Table Use of Data: We may use de-identified and/or aggregated data collected through online platforms and in cohort meetings (e.g., member sentiment, perspectives, outcomes) for promotion, marketing, and publication.
Promotional Use: You grant The Onyx Table the right to use your and your company’s public-facing identity (e.g., name, logo, likeness, and other publicly available brand assets) in promotional materials, social media, and on our website.
We will not sell or rent your personally identifiable information without consent. Please review our Privacy Policy for details.

7. Release & Indemnity

Member–Member Disputes: If you have a dispute with another member, you release The Onyx Table (and its officers, directors, agents, and employees) from claims, demands, and damages of every kind arising out of or connected with such disputes.
Indemnity: You agree to indemnify and hold harmless The Onyx Table, its officers, employees, and agents from any claims, losses, or damages arising from your use of the Services, breach of these Terms, or violation of applicable law.

8. Limitation of Liability

The Onyx Table is not liable for indirect, incidental, special, or consequential damages. Our total liability for any claim will not exceed the amount paid by you in the 12 months preceding the claim.

9. Intellectual Property

All content, branding, and materials provided by The Onyx Table remain our property or that of our licensors. You may not reproduce, distribute, or create derivative works without permission.

10. No Agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and The Onyx Table.

11. Changes to Terms

We may update these Terms from time to time. Updated versions will be posted on theonyxtable.com/terms-and-conditions with the “Effective Date.” Continued use of the Services after updates constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws provisions.
